This Software License Agreement ("License") governs your use of the Otto software, framework, and related services. This License supplements the Terms of Service — in the event of a conflict, this License controls with respect to intellectual property and usage rights.
Subject to your compliance with this License and an active paid subscription, Otto grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Otto Service for your internal business purposes during the subscription term.
This license includes the right to:
This license does not include the right to access, download, copy, or redistribute the Otto framework files, MCP server code, assessment logic, knowledge bases, or agent definitions.
Your license scope depends on your subscription tier:

Exceeding your tier's limits (e.g., adding an 11th repo on Standard) requires upgrading to the Enterprise tier.
You agree not to:
Server-Side Execution Model. The Otto framework operates exclusively on Otto's cloud infrastructure. Framework files (skills, knowledge bases, templates, assessment logic, agent definitions) are served to authorized clients via the MCP protocol and are never distributed to, stored on, or accessible from customer machines. This server-side execution model is a fundamental architectural decision for IP protection.
Otto's IP. All Otto framework content, including but not limited to skills, knowledge files, templates, schemas, pipeline definitions, and agent configurations, is the proprietary and confidential intellectual property of Otto. No rights are granted to this content beyond the limited access provided through the Service during an active subscription.
Your IP. You retain full ownership of all code, configurations, documentation, and other outputs generated by Otto agents in your repositories. Otto makes no claim to your work product.
Feedback. If you provide suggestions, feature requests, or other feedback about the Service, you grant Otto a perpetual, irrevocable, royalty-free license to use that feedback to improve the Service.
Access to the Otto Service requires a valid activation token, generated through the Otto dashboard and stored in your repository as .otto/activation.json.
Enterprise tier customers may negotiate a custom Enterprise Agreement that supplements or modifies specific terms of this License. Custom terms may include:

By You. You may terminate this License at any time by canceling your subscription and deleting your activation tokens.
By Us. We may terminate this License immediately if you breach any term of this agreement, particularly the Restrictions (Section 3) or Activation Token terms (Section 5). We may also terminate if your subscription lapses and is not renewed within 30 days.
Effect of Termination. Upon termination, your license to use the Service ends immediately. You must delete all activation tokens. Sections 3 (Restrictions), 4 (IP Protection), and this Section 7 survive termination.
